Our client is a multinational corporation engaged in the development, manufacture, and distribution of products and services for the companion animal veterinary, livestock and poultry, water testing, and dairy markets. They conduct operations through 60 locations around the world, and employs approximately 5,000 people in full-and part-time positions.

The Corporate Counsel (Commercial) plays a key role within the the legal Team’s Commercial Group, providing core, front-line legal support for business in the European region and beyond.
The Commercial Group partners with all lines of business globally, providing strategic, business- minded legal solutions for customer, supplier and distributor relationships, marketing and other critical commercial matters. Members of the Commercial Group work closely with legal and compliance colleagues in the Corporate, IP, Compliance and Operations groups to provide seamless legal support for commercial issues globally. This role works closely with  business partners within the European region (including Eastern Europe and Russia) to identify, analyze, propose and implement practical solutions to legal issues across a broad range of commercial matters. The focus is on structuring, drafting, negotiation and implementation of complex commercial transactions with customers, vendors, distributors and other commercial parties, and requires adroitness and versatility in dealing with related IP, licensing, sales, competition, advertising/marketing, privacy, export-import and other compliance and operational issues in a complex global business environment incorporating R&D, manufacturing, direct sales, services, distribution, agency, purchasing and marketing components.
The role involves regular interaction with regional management business partners and support of relationships across the International line of business (incorporating Companion Animal Group; Livestock, Poultry, Dairy; Water and OPTI products and services). Additional responsibilities include coordination of specialty legal support from the Legal Team’s Centers of Excellence, addressing regulatory and quality-control issues, handling supplier matters, addressing litigation strategy, providing legal support in compliance matters and overseeing outside counsel both from quality and cost perspectives.
Reporting to the Director & Associate General Counsel (International) and with a strong dotted line to business leadership, the role is also expected to play a significant part in process improvement efforts and other special projects.
• Current bar qualification in good standing.
• Top legal educational credentials, including relevant European university and/or graduate degree.
o U.S. J.D. or LL.M. highly valued
• 5-7 years of private practice and international in-house experience (5-7 years PQE total) in a core substantive area (e.g. commercial, corporate, business transactional) with extensive client interaction.
• Experience with matrixed, multinational company environments highly valued.

Ideal Candidate
• Ideally, we are looking for a candidate with a strong commercial experience and passion (contracts), preferably Dutch qualified (Major in Dutch Civil Law) and with the right private/in-house mix and steady course background. Ideally – 5-7 PQE in a core substantive area (e.g. commercial, corporate, business transactional) with extensive client interaction. Experience with matrixed, multi-national company. Someone who has significant experience with Dutch Law. Great communication skills in both English and at least one additional European Language (Dutch preferred).
